Independent Contractor Agreement
Version 1.0, effective October 2026. Vendors accept this agreement electronically on the application form. Keep a copy for your records.
This Independent Contractor Agreement (the "Agreement") is between Inside Out Window Cleaning ("Inside Out," "we," "us") and the business or individual identified on the vendor application ("Vendor," "you"). By checking the acceptance box and typing your name on the application, you agree to the following.
1. What this is
Inside Out markets residential window cleaning and related services to homeowners across Florida, books the work, collects payment from the customer, and assigns the job to an approved local vendor. You perform the work under your own business, with your own equipment, people, insurance, and methods. We do not direct how you do the work; we set the result the customer was promised and the standards in the Brand & Customer Experience Standards (the "Standards"), which are part of this Agreement.
2. Independent contractor status
You are an independent contractor, not an employee, partner, agent, or joint venturer of Inside Out. You decide whether to accept any job we offer, you set your own schedule within the appointment window the customer booked, and you may work for other companies and your own customers. You are responsible for your own taxes, licenses, permits, insurance, tools, vehicles, and any people you bring to a job. Nothing in this Agreement entitles you to wages, benefits, workers' compensation, or unemployment coverage from Inside Out.
3. Jobs and acceptance
We will send you job offers by text, email, or the vendor dashboard with the address, service tier, scope, scheduled window, and the customer price. You accept by confirming in writing (a reply text or email counts). Once accepted, you are committed to that job on that date. If you cannot make a job you accepted, you must tell us at least 24 hours before the appointment so we can reassign it; repeated late cancellations or no-shows end this Agreement.
4. Pricing, payment, and the platform fee
Inside Out sets the price the customer pays and collects it through our booking and payment system. For each completed job, you earn 90% of the net amount collected, where "net amount" means the customer's payment for your work minus the payment-processor fees charged on that transaction. Inside Out keeps the remaining 10% as its platform fee for marketing, booking, customer service, and payment handling.
Example: a customer pays $329. Processor fees on that payment are $9.84. Net amount is $319.16. You receive $287.24 (90%); Inside Out keeps $31.92 (10%).
Payouts are made weekly for jobs completed and paid by the customer during the prior week, by ACH, Zelle, or another method we agree on in writing. We will send a payout statement with each payment listing every job, the amount collected, processor fees, and your share. If a customer's payment fails, is refunded, or is charged back because the work did not meet the Standards, the related payout is withheld or deducted from your next payout. Tips a customer gives you directly are yours and are not subject to the fee.
You may not collect money from Inside Out customers directly, quote them different prices, or sell them other services at an Inside Out job without our written okay.
5. The guarantee
Inside Out promises customers "the best window cleaning you've ever had, or it's free." If a customer reports a problem within 7 days of the job, you agree to return and make it right at no charge within 3 business days of our request. If you cannot or do not, we may send another vendor and deduct that cost, or refund the customer and deduct the refund, from your payouts.
6. Insurance and compliance
At all times while this Agreement is in effect you must maintain, at your own cost: (a) commercial general liability insurance of at least $1,000,000 per occurrence naming Inside Out Window Cleaning as an additional insured, and (b) workers' compensation coverage as required by Florida law, or a current Florida exemption certificate if you qualify for one. You must upload current certificates with your application and send renewals before they expire. We will not assign jobs to a vendor whose coverage has lapsed. You must also hold any business license or registration your city or county requires, and you are responsible for anyone you bring onto a job site.
7. Customers, non-solicitation, and confidentiality
Customers booked through Inside Out are Inside Out customers. While this Agreement is in effect and for 18 months after it ends, you agree not to solicit, quote, or perform window cleaning or related services for any customer you were introduced to through Inside Out, except through Inside Out. Customer names, addresses, gate codes, phone numbers, and job details are confidential; use them only to perform the job and do not share, store, or market to them. Delete or return customer information when we ask or when this Agreement ends. These obligations survive termination.
8. Representing the brand
On an Inside Out job you represent Inside Out. You agree to follow the Standards, which cover appearance, conduct, communication, safety, photos, and how to handle problems. You may describe yourself to customers as the local Inside Out crew. You may not use the Inside Out name or logo anywhere else (your own trucks, website, social media, or advertising) without written permission, and you may not speak for Inside Out, make promises on its behalf, or handle customer disputes about pricing or billing; send those to us.
9. Quality, damage, and liability
You are responsible for the quality of your work and for any damage or injury caused by you or your crew on a job, including to the customer's property. You agree to indemnify and hold harmless Inside Out and its owners from claims, losses, and costs (including reasonable attorney's fees) arising from your work, your people, your vehicles, or your breach of this Agreement. Inside Out's total liability to you under this Agreement is limited to unpaid amounts owed for completed jobs.
10. Term and termination
This Agreement starts when we approve your application and continues until either party ends it. Either of us may end it at any time with written notice (email counts). We may end it immediately for a lapse in insurance, a safety or conduct violation, a customer complaint we judge serious, or a breach of Sections 4, 7, or 8. You will be paid for completed, paid jobs through the end date, subject to Section 4.
11. General
This Agreement, the Standards, and your application are the whole agreement between us and replace any earlier discussions. We may update the Standards or the fee split with 30 days' written notice; continuing to accept jobs after the notice is acceptance of the change. Florida law governs this Agreement, and any dispute will be heard in the state courts of Volusia County, Florida, after a good-faith attempt to resolve it by phone or email. If any part of this Agreement is unenforceable, the rest still applies. You may not assign this Agreement or subcontract an Inside Out job to someone else without our written okay.
12. Electronic acceptance
Checking the acceptance box and typing your name on the vendor application is your electronic signature and has the same effect as a handwritten signature. We record the name typed, the date and time, and the application details as the signed copy.
